In October 2025, Natural Resources Wales (NRW) agreed to pay HMRC £14.6 million, including interest, over historic misclassification of contractors under the off-payroll working rules, with a further £2.95 million in penalties suspended for twelve months. Add the two together and you have the £17.6 million in the headline.
NRW's response: it has stopped using off-payroll contractors, and its default position is that it won't use them in future. In other words, no more flexibility through that route, and no more access to the specialist skills that came with it.
This isn't just a tax story. It's a workforce risk story, and a reminder that how you engage and manage contingent talent can have serious financial and operational consequences.
How a managed service provider reduces IR35 risk
If your organisation relies on contingent talent, a managed service provider (MSP) can act as a built-in risk-mitigation layer. It doesn't remove the end client's legal responsibility for status determinations; it makes that responsibility defensible.
Governance and compliance: a well-run MSP provides the assessment framework, the documentation and the audit trail for every engagement, and keeps the process current as case law and HMRC guidance move.
Access with agility: with the right controls you don't have to choose between flexibility and compliance, and you avoid the blanket-ban response entirely.
Audit-ready protection: where liability sits with the engager, an MSP gives the structure and oversight to show how each decision was made.
A talent strategy enabler: instead of walking away from contractor talent, you keep access to critical skills on a governed basis.
Choosing one is a decision in itself; our guide to choosing a recruitment MSP covers master versus neutral vendor and how to tell which providers mean it on compliance.
Three questions for HR and procurement leaders
Are contractor roles individually assessed and properly documented?
Is your MSP, or your internal process, updated with the latest IR35 case law and guidance?
If you stopped using off-payroll contractors tomorrow, what would it do to delivery and performance?
If you're not sure of the answers, start with do you know the risks of IR35 non-compliance?. New to the rules? Start with how IR35 changes the way you hire contractors.
Building a compliance-first workforce culture
Managing contingent talent isn't just about meeting tax rules. It's about protecting business continuity and capability. A compliance-first culture, supported by a trusted MSP partner, lets an organisation adapt quickly while staying audit-ready and risk-aware. It's one of the five bottlenecks that surface when regulated organisations scale, and the one that stays invisible longest.
At Vermelo we think a well-managed flexible workforce isn't a compliance measure; it's a competitive advantage. The real cost of non-compliance isn't the tax. It's project delays, lost expertise and reputational damage. A robust MSP model gives you the governance you need with the agility you want.
Nothing here is legal or tax advice. IR35 and off-payroll obligations depend on your circumstances and should be confirmed with a qualified adviser.

IR35 and contingent workforce risk, answered
A blanket ban removes the risk by removing the flexibility, and with it access to specialist skills you may not be able to hire any other way. Natural Resources Wales' default position of no longer using off-payroll contractors is one response; the alternative is a properly governed process in which every role is assessed individually, documented and reviewable. Which is right for you depends on how much your delivery relies on contract skills. This is commentary, not advice: take your own tax and legal advice on your position.
By turning contractor engagement into one consistent process rather than a set of decisions taken differently across departments and suppliers. A well-run MSP provides the assessment framework, the documentation and the audit trail for every engagement, keeps the process updated as case law and HMRC guidance move, and gives you a single view of who is engaged, how and on what terms. It doesn't remove the end client's legal responsibility for status determinations; it makes that responsibility defensible.
The tax and interest is only the visible part. Natural Resources Wales' settlement was £14.6 million including interest, with a further £2.95 million in penalties suspended for twelve months. Behind that sit the costs that don't get a headline: the projects delayed while the contractor route is closed, the expertise that leaves with it, the management time the investigation consumed, and the reputational damage of being the case study everyone else cites.
